Access to the App Portal and certain SaaS products requires creating a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

When using our services, you agree not to:

• Use our services for any unlawful purpose
• Upload or transmit harmful code, viruses, or malicious software
• Attempt unauthorized access to our systems or other users’ accounts
• Interfere with or disrupt the integrity of our services
• Use our services to collect information about other users without consent

All content on the North 37 website — including text, graphics, logos, software, and design — is the property of North 37 LLC and is protected by intellectual property laws. The North 37 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of North 37 LLC. You may not use these marks without our prior written permission.

The following terms apply specifically to our SaaS products (NorthChat, Marketing Agent, Canopy Ops):

• Billing — subscription fees are billed according to the plan selected. All fees are non-refundable unless otherwise stated.
• Uptime — we target 99.5% service availability, excluding scheduled maintenance windows.
• Data Ownership — you retain full ownership of all data you input into our systems.
• Data Export — upon termination, you may request a full export of your data within 30 days.

Strategic outsourcing partnerships are governed by individual service agreements between North 37 LLC and the client. These Terms of Service apply to the website and general service interactions; specific partnership terms are defined in the applicable service agreement.

Our services may include AI-powered tools and automated systems. Outputs generated by AI are provided as assistance and are not a substitute for professional judgment. North 37 LLC does not guarantee the accuracy or completeness of AI-generated outputs. You are responsible for reviewing and validating any AI-assisted results before acting on them.

To the fullest extent permitted by law, North 37 LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim arising from these terms or our services shall not exceed the amount you paid to North 37 LLC in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless North 37 LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising out of your use of our services or your violation of these Terms of Service.

Either party may terminate the use of services at any time. North 37 LLC reserves the right to suspend or terminate your access to our services if you violate these terms. Upon termination, provisions that by their nature should survive — including intellectual property, limitation of liability, indemnification, and dispute resolution — shall remain in effect.

Any disputes arising from these terms or our services shall first be resolved through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in accordance with applicable rules.

North 37 LLC reserves the right to modify these Terms of Service at any time. For material changes affecting active subscribers, we will provide at least 30 days’ notice. Continued use of our services after changes take effect constitutes acceptance of the revised terms.

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

These Terms of Service, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and North 37 LLC regarding the use of our website and services.
